Terms of Service For General Protocols Services

General Protocols Services (hereinafter referred to the “Services”) are provided through interfaces such as an API and were created by General Protocols Pte Ltd (hereinafter referred to the “Developer”) of 10 Anson Road #10-11 International Plaza Singapore 079903. The Services make it easy and inexpensive to use protocols such as AnyHedge as there is no upfront cost involved for Users.

The Services allow Users to delegate responsibility for monitoring, redemption and other aspects of their transactions in a trustless and non-custodial way such that the Services never have custodianship over Users’ funds.

All Users of the Services are required to enter into a legally binding License Agreement with the Developer. The Licence granted by the Developer to Users of the Services and the terms and conditions thereof are set out in this Terms of Service (hereinafter referred to the “TOS”).

All Users must read this TOS to apprise themselves of their rights and obligations arising from the use of the Services and its License. Written approval is not a prerequisite to the validity or enforceability of this TOS.

  1. Relationship Between General Protocols And Users

    Nothing in this TOS, express or implied, shall create or give rise to a partnership, agency, employer-employee relationship between General Protocols and Users and neither shall have the power or the authority to act in the name or on behalf of the other or otherwise bind the other in any way.

  2. Acceptance of Terms

    Through the use of the Services, Users expressly acknowledge, accept and agree to this TOS and all the terms and conditions set out herein and also any changes to the TOS that General Protocols may make from time to time. Any such changes will become effective as soon as the updated TOS is posted on www.generalprotocols.com.

    By continuing to use the Services, you signify to General Protocols that:

    1. have read this TOS in full and that you fully understand and comprehend your rights and obligations arising from acceptance of the TOS;
  3. You accept the terms and conditions expressed in this TOS in full and without reservation;
  4. You agree that the provisions, disclosures and disclaimers set out in this TOS are fair and reasonable;
  5. Your agreement to follow and be bound by these terms and conditions is voluntary; and
  6. You have the authority to signify acceptance and agreement to this TOS if you are using the Services on behalf of a corporate entity of whatever nature.

If you do not accept the terms and conditions on which use of the Services is made available for your use, please immediately desist from using any part of the Services.

By continuing use of the Services you also waive the right to have an original signature in the execution of this TOS.

  • Right To Amend TOS

    General Protocols reserves the right to modify this TOS from time to time with or without notice, at its sole and absolute discretion and any such changes will be posted by General Protocols on www.generalprotocols.com and will become effective as soon as the posting is completed. You expressly acknowledge and agree that it is your responsibility to review the TOS periodically to familiarize yourself with any modifications that may have been made by General Protocols. If you do not agree to any such future changes, you must cease using the Services. Your continued use of the Services shall be conclusive evidence of your acceptance of such changes.

  • The License
    1. Subject to the terms and conditions set out herein, General Protocols hereby grants to the User a non-exclusive, non-assignable, non-transferable, revocable license to use the Services for any legal and ethical purposes. The license granted by General Protocols to the User is non-exclusive and limited in nature and is personal and shall not in any circumstances be transferable in any way.
    2. The User shall not use the Services for any harassment, bullying, illegal use, conspiracy to commit crimes and/or acts of terrorism, or any other use General Protocols shall in its absolute discretion deem to be nefarious, obnoxious or objectionable or which could render General Protocols in danger of criminal and or civil liability and/or which could damage the reputation of General Protocols or its commercial and economic viability.
    3. The User:
      1. Shall not cause any viruses, worms, malware, spyware or other items of such to be loaded on General Protocols’s servers or to otherwise cause disruption to the normal operations of General Protocols and its assets;
      2. Shall not access or attempt to access any servers by means of automated, unethical, unconventional or illegal means, including but not limited to hacking.
    4. General Protocols makes no grant of any implied license or other implied rights of any kind whatsoever for the use of the Services, whether temporary or permanent.
  • Cost To The User
    1. Subject to the terms of the License granted by General Protocols to the User and the provisions of Clause 4.2, Users may interact with the Services without any direct cost to the User.
  • Who May Use The Services

    Use of the Services is strictly restricted to persons who are capable of entering into a legal agreement in their country of residence. By using the Services, you expressly warrant and undertake to General Protocols that you have the capacity and authority to enter into an Agreement with General Protocols for use of the Services.

  • Refusal Of Use

    The provision of the use of the Services shall at all times be at the sole and absolute discretion of General Protocols and General Protocols shall at all times be at liberty without restraint or encumbrance to refuse use of the Services to any person or entity without giving an explanation for such refusal.

  • Obligations Of Users

    Notwithstanding the status of the Services, its use gives rise to certain rights and obligations on the part of Users as follows:

    1. Users shall not modify, recreate, reverse engineer or otherwise attempt to obtain the source code of the Services or any part thereof that has not been made available by General Protocols on an open source basis.
    2. The Developer has no obligation to monitor your usage of the Services nor do we do so. YOU ARE SOLELY RESPONSIBLE FOR THE USAGE OF THE SERVICES AT ALL TIMES AND IT IS YOUR RESPONSIBILITY TO ENSURE THAT YOUR USAGE OF THE SERVICES IS LEGAL AND LAWFUL AT ALL TIMES.
    3. The Services or any part thereof may not be used for any illegal and/or unethical purposes.
    4. the User shall not create a use for the Services that would, directly or indirectly, assist in the commission of any terrorist act and/or activity, including but not limited to, raising of funds in favour of any such parties.
  • Support And Maintenance

    The User acknowledges and agrees that General Protocols does not and will not have any obligation whatsoever to provide any support or maintenance in connection with the Services but General Protocols reserves the right to provide such support and maintenance, on a case by case basis, and General Protocols reserves the right at all times to determine the terms on which such support and maintenance may be provided.

  • Ownership Rights
    1. The Services are the sole and exclusive property of General Protocols, inclusive but not limited to the copyright and the intellectual property therein, and the availability of any related protocols and libraries on an open source basis shall not grant in any way any property and/ or ownership rights in the Services or any part thereof to any Users.
    2. In the event that Users develop derivative software using the Services as a base and/or develop their own APIs, such Users shall have full ownership rights in respect of the portions of such derivative software and API that is actually created by the User provided always that such ownership rights do not in any way extend to the Services developed by General Protocols.
  • Intellectual Property And Copyright

    All Intellectual Property and Copyright in the Services and the associated libraries and protocols are owned exclusively by General Protocols and usage of the Services and the associated libraries and protocols does not in any way confer or transfer to Users any Intellectual Property and Copyright therein.

    Where Users use the Services and the associated libraries and protocols as a base to develop derivative products, such Users shall own the Intellectual Property and Copyright in such derivative products except insofar as it would relate to the Services developed by General Protocols.

  • Term Of License And Termination

    The term of the License commences on the first use of the Services and the License shall continue until such time that the User stops using the Services or use is terminated by General Protocols in its absolute discretion.

  • No Investment Advice And No Brokerage Service
    1. For avoidance of doubt, it is expressly stated that General Protocols is not an investment adviser and nor is it a registered as investment advisor or a broker with any regulatory authority nor does it in any way imply that it holds such status. The Services does not in any way suggest to Users on how to trade any position.
    2. The User expressly acknowledges that trading of any kind is a high risk activity and the User expressly assumes all risk related to his/her/its trading activity. General Protocols assumes absolutely no liability for the trading activity of the User. The User should always check with a licensed financial advisor to determine the suitability of any investment.
    3. General Protocols expressly states that it does not in any way accept responsibility for any losses and or damages suffered as a result of using the Services whether such losses and/or damages arise as a result of the User’s investment decisions or as a result of any defect in the Services, inherent or otherwise.
  • Warranties And Limitation Of Liability
    1. To the maximum extent allowed by applicable laws, General Protocols makes the Services available to Users on an “as is – where is” basis and makes absolutely no representations in respect of the Services and gives no warranties in respect of any part of the Services. As such, Users use the Services entirely and exclusively at their own risk. It is the responsibility of each user to ensure that the Services are suitable for their purposes and safe for their intended usage.
    2. In particular, but not limited to, General Protocols makes no warranties, express or implied, in respect of the following:
      1. General Protocols expressly disclaims all representations and warranties relating to the Services, including but not limited to, warranties:
        1. of merchantability or fitness for a particular purpose;
        2. on quality, accuracy, authenticity;
        3. as to title and non-infringement;
        4. that the Services will function without interruption or errors in functioning;
        5. that updates will be made available;
        6. that defects in the Services will be corrected;
        7. that the Services will be compatible or work with any third party software, applications or third party services;
        8. that the uptime of the Services will not be impacted due to maintenance, updates, or system or network failures;
        9. that the Services and the libraries and protocols do not have any latent defect in its source code.

        General Protocols disclaims all liability for damages caused by any such defects or errors in functioning or interruption.

      2. General Protocols makes no guarantees or warranties as to the security of the Services. All security issues are the sole and exclusive responsibility of Users and General Protocols gives no warranties that the Services cannot be used in ways and for purposes which may cause economic loss to Users and/or which may result in identity theft of Users and/or their customers and contacts.
      3. General Protocols makes absolutely no guarantees or warranties as regards the suitability of the use of the Services as a base for the development and use of derivative products or that such derivative products will function as Users expect and/or require.
    3. Users of the Services are required to fully test the Services before applying them in any of their software or in critical situations.
    4. General Protocols accepts no liability or responsibility for any errors or omissions in the Services or any losses or damages arising from the use of the Services.
    5. To the maximum extent permitted by applicable law, General Protocols shall not be liable to any User for any punitive damages, direct, indirect or speculative damages (including, without limiting the foregoing, consequential, incidental, and special damages) including, but not limited to, loss of use, business interruptions, and loss of profits, incurrence of additional costs of whatever nature regardless of whether these parties had advance notice of the possibility of any such damages. The total liability of General Protocols, its officers, directors, shareholders, employees, and agents to the User for any claim arising out of or relating to the User’s use or inability to use the Services or the libraries and protocols, whether in contract or in tort, shall not exceed ten dollars (SGD$10) per User. The limitations in this section will apply notwithstanding the failure of essential purpose of any limited remedy under the terms.
    6. The invalidity of a particular limitation of liability shall not in any way affect the validity of any other limitation of liability relied upon by General Protocols.
    7. This TOS is not intended to and shall not be construed as excluding or limiting any liability which cannot be limited or excluded by applicable law, including liability for
      1. death or bodily injury caused by a Party’s negligence; or
      2. gross negligence, wilful misconduct, or fraud.
  • Indemnification

    The User hereby agrees to indemnify and hold General Provisions and its officers, directors, employees and agents harmless from any charges, complaints, damages, losses, liabilities, costs and expenses (including attorneys’ fees and expert fees) due to, arising out of or relating in any way to:

    1. the use and/or misuse of the Services;
    2. any content or application created using the Services;
    3. any violation of this TOS or any applicable rule, regulation or law, and
    4. the use and/or misuse of any information and/or resources made available to Users by General Protocols.
  • Confidentiality

    The Parties shall at all times keep all information relating to each others’ business activities and affairs private and confidential and shall not disclose any information to any third party except insofar as is required in the furtherance of the intentions of this TOS or as necessary for the Parties to be in compliance with their respective legal requirements and obligations.

  • General Provisions
    1. Variations - A variation of this TOS shall only be effective if such variation is made and posted on www.generalprotocols.com by General Protocols;
    2. Delays, Indulgences And Omissions - A delay or indulgence or omission in exercising any right, power or remedy pursuant to the terms of this TOS shall not in any way impair or be construed as a waiver of such rights, powers or remedies;
    3. Exercise Of Rights - An exercise, partial or otherwise, of any rights, powers and remedies or non-exercise thereof shall not preclude or restrict any other or further exercise of such rights, powers or remedies;
    4. Waivers - A waiver of one or more breaches of any term or terms of this TOS shall not constitute or in any way be deemed to be a waiver of any other breach that shall already have occurred at the date of such waiver or which may occur in the future and the waiver of any breach shall not preclude the Party making the waiver from subsequently requiring compliance with the waived obligation;
    5. Cumulative Remedies - All rights and remedies pursuant to the terms of this TOS are cumulative and not exclusive of any rights, powers and remedies granted by law;
    6. Severability - In the event that any provision or term of this TOS is or shall become illegal, invalid or unenforceable under the laws of any jurisdiction such event shall not in any way affect or impair the validity and enforceability of any other provisions and terms of this TOS;
    7. Entire TOS - This TOS constitutes the entire TOS and understanding between the Parties and supersedes any previous agreements, understanding and arrangement between them in relation to the subject matter and intention of this TOS and the Parties expressly acknowledge that they rely on no statements, representations, assurances, warranties or understandings which are not expressly stated herein and that the only remedies they shall be entitled to shall be for damages for breach of contract pursuant to the expressly stated terms of this TOS provided always that nothing in this Clause shall limit or exclude any liability for fraud, breach of trust, theft and/or other criminal conduct;
    8. Enforceability - No person or legal entity who is not a Party of the Developer and who is not a party to this TOS or has not Signed a Deed of Adherence shall be entitled in any way whatsoever to enforce this TOS;
    9. Own Benefit - Each Party to this TOS expressly confirms and undertakes that they are entering into this TOS for their own exclusive benefit and not for the benefit of any other person or legal entity;
    10. Assignment - This TOS is personal to the Parties and neither shall assign, transfer, charge, make the subject of a trust or otherwise deal in this TOS or the rights and obligations pursuant to this TOS without the prior written consent of the other Party;
    11. Chainsplits - General Protocols will decide at our sole discretion the chain to support in the event of chainsplits.
  • Disputes

    Any disputes between the Parties shall be settled by way of arbitration and the decision of the arbitrator shall be final and binding on the Parties and judgment may be entered thereon in any competent court provided always that the arbitrator shall not make any decision or award that would change, cancel, rescind any provision of this TOS and any decision or award shall be consistent with provisions and intent of this TOS. Any arbitration pursuant to this TOS shall take place in the Republic of Singapore.

    Any Arbitration must be commenced within one (1) year from the date the claim arose failing which the claim shall have been deemed to have been waived.

  • Notices

    Any notice or other communication required by this TOS shall be in writing and shall be sent by pre-paid first class recorded delivery and shall be addressed to the Party and such notice shall be effective two (2) clear days from the date of dispatch of such notice as recorded in the proof of posting.

    Email communication shall be acceptable with confirmation-in-reply by the other Party.

  • Governing Law

    This TOS shall be governed by the Laws of the Republic of Singapore and each of the Parties expressly agrees to submit to the exclusive jurisdictions of the court of the Republic of Singapore.

  • Time

    Time shall be the essence of this TOS.
